Oracle proposes $20 billion in stock and bond offerings
November 2, 2026. Oracle filed a preliminary prospectus for a $10 billion common-stock offering and described a concurrent $10 billion senior-note offering. The two transactions are independent and neither closing is guaranteed.
The filing says net proceeds would be used for general corporate purposes, which may include capital expenditure, debt repayment, acquisitions, dividends or buybacks. Final terms remain subject to change.
Why it matters
The offerings illustrate the scale of financing cloud companies seek while expanding infrastructure for artificial intelligence. Issuing shares can dilute existing shareholders, while debt adds financial obligations.
Rockstar Briefing analysis
The prospectus is a proposal, not proof that Oracle has already raised $20 billion. Investors will need to assess final pricing, note terms and the company’s ability to turn investment into cash flow. The prospectus does not earmark all proceeds exclusively for data centers.
